Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) are a binding agreement between you and THIRTYBIT, LLC (“Prendl,” “we,” “us”). By accessing or using prendl.com and the Prendl application (the “Service”), you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

2. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service.

3. Accounts

You are responsible for your account credentials and all activity under your account. Keep your password secure and notify us promptly of any unauthorized use. You are responsible for the members you invite to a workspace and the access levels you assign them.

4. Plans, billing, and refunds

Prendl offers a Free plan and paid Pro and Team plans. Paid plans are billed in advance on a monthly or yearly basis through Stripe and renew automatically until cancelled. Team plans are billed per member seat; adding or removing members adjusts your bill. Fees are exclusive of taxes where applicable.

You can cancel anytime from Settings → Billing; your plan remains active until the end of the current billing period. Except where required by law, payments are non-refundable. We may change pricing with notice, and changes apply to your next billing cycle.

5. Your content

You retain all rights to the content you create in Prendl, including your prompts (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and improve the Service. You are responsible for Your Content and for having the rights to use it. Free plans are limited to 50 prompts and exclude version history and import/export; paid plans remove these limits.

6. Acceptable use

You agree not to:

• use the Service for unlawful purposes or to infringe others’ rights;
• upload malware or attempt to disrupt or gain unauthorized access to the Service;
• scrape, resell, or sublicense the Service except as expressly permitted;
• reverse engineer or circumvent access controls or usage limits; or
• harass others or unlawfully upload other people’s personal data.

7. Our intellectual property

The Service, including its software, design, and trademarks, is owned by Prendl and protected by law. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. These Terms do not transfer any of our intellectual property to you.

8. Third-party services and AI tools

The Service integrates with or links to third-party services (for example, Stripe, Google, and AI tools such as ChatGPT, Claude, and Gemini). We are not responsible for third-party services, and your use of them is governed by their own terms. Prendl helps you organize and reuse prompts; it does not generate AI outputs, and any AI model you use is independent of Prendl.

9. Availability and changes

We may modify, suspend, or discontinue features at any time. We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Prendl will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, or USD 100 if you paid nothing.

13. Indemnification

You agree to indemnify and hold Prendl harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms.

14. Governing law

These Terms are governed by the laws of Delaware, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Delaware, unless applicable consumer-protection law requires otherwise.

15. Changes to these terms

We may update these Terms from time to time. We will post the revised version with a new “Last updated” date and, for material changes, provide notice. Continued use after changes take effect means you accept the updated Terms.
